Terms of Service
These Terms of Service (the "Terms") govern your access to and use of the CommerceBase platform (the "Service"), operated by The Realry Group Inc. and its affiliates ("TRG", "CommerceBase", "we", "us"). By signing up, clicking "I agree", or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the legal entity you represent (collectively, "Customer" or "you").
1. Acceptance of Terms
By signing up for or using the CommerceBase platform (the "Service"), operated by The Realry Group ("TRG", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. The Service
CommerceBase is a commerce media platform that lets advertisers connect a product catalog and run paid campaigns across multiple channels — including Google Shopping (via TRG's CSS Partner sub-accounts), our own publisher network, and our own real-time bidding (RTB) exchange.
3. Billing & Markup
CommerceBase operates a wallet-based billing model. Advertisers prepay via Stripe. Spend is deducted as it accrues. A markup (default 30%) is applied to channel media cost; per- channel rates may differ and are disclosed in your account settings. We do not bill on commission (CPS) for the same conversion that we bill markup on.
4. Wallet and Auto-Pause
When your wallet balance reaches the configured floor (default $0), CommerceBase pauses your active campaigns automatically to prevent over-spend. You may resume campaigns after topping up. A predictive sweep also pauses campaigns when projected near-term spend would breach the floor before the next channel report lands.
5. Product Catalog and Compliance
You represent that you have the right to advertise the products in your catalog, that product content does not infringe third-party rights, and that you comply with applicable consumer-protection, advertising, and platform-specific policies (including Google Ads policies for CSS-channel campaigns).
6. Refunds and Disputes
Topups are non-refundable except where required by law. Disputes about channel-reported spend must be raised within 30 days of the corresponding reconciliation event.
7. Termination
Either party may terminate this agreement with 30 days' written notice. Outstanding wallet balance at termination, less any unsettled spend, is refundable to the original payment method.
8. Liability
To the maximum extent permitted by law, TRG's aggregate liability arising from the Service is limited to the fees paid by you in the three months preceding the event giving rise to the claim.
9. Governing Law
These Terms are governed by the laws of the Republic of Korea. Disputes are submitted to the exclusive jurisdiction of the courts of Seoul, except where a partner's local consumer-protection law requires otherwise.
10. Data Processing
Our processing of personal data on Customer's behalf is governed by our Data Processing Addendum("DPA"), which is incorporated into these Terms by reference for Customers subject to the GDPR, UK GDPR, or comparable regimes. The DPA controls in the event of any conflict regarding processing of personal data.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days before they take effect via email or in-product notice. Continued use after the effective date constitutes acceptance.
